Welcome to Smart Solutions. By accessing or using our websites (smartsolutions.tools, getcopythat.ai, mindlume.app) and any associated tools, products, or services, you agree to be bound by these Terms of Use. If you do not agree, please do not use our services.

1. About Smart Solutions

Smart Solutions Consulting, LLC ("Smart Solutions," "we," "us," or "our") builds AI-powered tools for small business owners and behavioral health providers. Our products include CopyThat!, FundReady, Mindlume, and related services. Smart Solutions is founded and operated by Keisha Shephard.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these terms. By using our services, you represent that you meet these requirements.

3. Accounts and Business Brain Data

Certain features of CopyThat! allow you to create a Business Brain profile, which stores your business information and writing voice locally on your device using browser localStorage. We do not store your Business Brain data on our servers. You are responsible for the accuracy of the information you provide. Clearing your browser data will remove your locally stored profile.

4. Free and Paid Services

• Free Tier: CopyThat! offers 10 free responses. FundReady offers one free assessment. These are provided at no cost with no obligation.
• Smart Solutions Pro: A paid subscription ($29/month or $290/year) that unlocks unlimited access to all tools and features. Subscriptions are processed through Payhip. Cancellation and refund policies are governed by Payhip's terms.
• Free Consultations: Funding Fit Calls and Business Consultations are offered free of charge and are scheduled through Calendly.

5. Acceptable Use

You agree not to:

• Use our tools for any unlawful, fraudulent, or harmful purpose
• Attempt to reverse-engineer, decompile, or extract source code from our tools
• Use automated systems (bots, scrapers) to access our services without permission
• Misrepresent AI-generated content as human-written in contexts where disclosure is legally required
• Use CopyThat! to generate content that is harassing, defamatory, or discriminatory

6. AI-Generated Content

CopyThat!, FundReady, and Mindlume use artificial intelligence to generate content based on your inputs. While we strive for accuracy and quality, AI-generated content may contain errors, inaccuracies, or inappropriate suggestions. You are solely responsible for reviewing, editing, and approving all generated content before use. Smart Solutions is not liable for any consequences arising from the use of AI-generated content.

7. Business Funding Disclaimer

Smart Solutions is not a lender, financial advisor, or credit counselor. FundReady provides educational assessments and general guidance to help you prepare for funding conversations. Funding pre-qualification links connect you to third-party lending partners (including ROK Financial). All lending decisions, terms, rates, and approvals are made solely by those third-party lenders. Smart Solutions may receive referral compensation from lending partners.

8. Mindlume — Clinical Documentation Disclaimer

Mindlume generates AI-assisted clinical documentation templates for behavioral health providers. Mindlume does not provide clinical advice, diagnoses, or treatment recommendations. All generated notes must be reviewed, edited, and approved by a licensed clinician before inclusion in any patient record. Clinicians remain solely responsible for the accuracy and clinical appropriateness of all documentation.

9. Intellectual Property

All Smart Solutions branding, product names (CopyThat!, FundReady, Business Brain, Mindlume), website designs, and original content are the property of Smart Solutions Consulting, LLC. You may not use our trademarks, logos, or branding without written permission. Content you generate using our tools belongs to you.

10. Third-Party Services

Our services integrate with or link to third-party platforms including Payhip (payments), Calendly (scheduling), MailerLite (email), Netlify (hosting), and ROK Financial (funding). Your use of these third-party services is governed by their respective terms and privacy policies. Smart Solutions is not responsible for the practices of third-party services.

11. Limitation of Liability

To the maximum extent permitted by law, Smart Solutions Consulting, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of revenue, data, or business opportunities. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Smart Solutions Consulting, LLC, its founder, employees, and affiliates from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

13. Modifications

We may update these Terms of Use from time to time. Material changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the revised terms.

14. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services ceases immediately.

15. Governing Law

These terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved in the courts of North Carolina.
